PostNest - Terms of Service
Last updated: October 15, 2026
These Terms of Service ("Terms") are a binding agreement between you ("you," "your," or "User") and Elledyne Labs, Inc., a Delaware corporation ("Elledyne Labs," "we," "us," or "our"). Elledyne Labs owns and operates PostNest. These Terms govern your access to and use of the PostNest applications, websites, APIs, and related services, including the hosted PostNest Cloud service (collectively, the "Service").
By creating an account, downloading, installing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and Acceptance
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.
You accept these Terms when you check the box indicating acceptance, or when you access or use the Service, whichever happens first.
2. The Service
PostNest is a hosted service with two parts that work together:
- The PostNest app, which you use in your web browser at app.postnest.io (or, where we offer one, through the PostNest desktop application, which is a window onto the same service). It is where you build brands, draft and edit posts, approve them, plan your calendar, and read your Inbox.
- PostNest Cloud, the hosted service we operate behind the app. It stores your drafts, brands, campaigns, and uploaded media for your account, stores the access you grant when you connect an account (in encrypted form), publishes the posts you approve through each platform's official API, collects comments on your published posts for your Inbox, temporarily stores media for publishing, reads the public websites you name when you build a brand, and runs the AI model that drafts posts and replies.
With the Service you can:
- Build a brand. You supply material describing the brand you want (for example, your own website, the websites of brands you admire, documents and images you upload, and examples you paste), and, with your permission, PostNest reads the past posts of the accounts you connect. The Service helps you produce a brand definition - voice, vocabulary, and the shape your posts take - which you may edit at any time.
- Connect accounts. You connect a social account by signing in to that platform and granting PostNest access through the platform's own authorization screen. PostNest never asks for, sees, or stores your platform password. You can disconnect an account at any time, in PostNest or in the platform's own settings.
- Draft, approve, and schedule posts. The Service drafts posts, you review and approve them, and approved posts are published through the platform's official API - immediately, or at the time you schedule. See Section 7.
- Manage comments. Your Inbox shows comments on posts published from your connected accounts, retrieved through the platforms' APIs. The Service can draft a reply for you to copy and post yourself. See Section 7.
Supported accounts. The Service currently supports Facebook Pages, Instagram professional (Business or Creator) accounts, Threads, X, LinkedIn personal profiles and LinkedIn Pages, and TikTok. It does not support personal Facebook profiles, Facebook Groups, or personal (non-professional) Instagram accounts, because those platforms offer no publishing API for them. Features differ by platform and by account type (for example, comments on personal LinkedIn profiles are not available), and the platforms and features we support may change. A platform may require that a post be finished in its own app before it goes live (for example, by delivering it to your drafts or inbox on that platform); where that applies, the Service will tell you.
Your browser. PostNest opens a platform's pages in your own browser only to show you its authorization screen when you connect an account, and to open a post or comment so you can act on it yourself. PostNest does not automate, control, read, or collect data from the platform pages you open.
Scheduled posts do not need your computer. Approved scheduled posts are published by PostNest Cloud at their scheduled time even if you have closed the PostNest app or your computer is off. Delivery still depends on the platform accepting the post - see Sections 7 and 8.
3. Beta / Evaluation Software
The Service is provided on an early-access, evolving basis. It may contain bugs, may change or be discontinued at any time, may produce incorrect results, and may experience downtime or data loss. You should not rely on the Service for any use where failure could cause harm, loss, or significant cost. We back up the data stored in PostNest Cloud, but we do not guarantee that it can be recovered; keep your own copy of anything you cannot afford to lose.
4. Accounts and Security
To use the Service you must create a PostNest account. Account registration and authentication are handled through Google Firebase Authentication, including the option to sign in with Google. You agree to provide accurate information, to keep it current, and to keep your credentials confidential. You are responsible for all activity under your PostNest account, including posts approved from it. Notify us promptly at service@postnest.io of any unauthorized use.
Your PostNest account is separate from the platform accounts you connect. Keep both secure: anyone who can use your PostNest account can approve posts to your connected accounts.
5. Plans, Fees, and Billing
The Service is offered on paid subscription plans. There is no free tier. A new subscriber's first plan may start with a free trial (14 days unless stated at checkout); we collect a payment method when the trial starts, and the plan is charged when the trial ends unless you cancel before then. You can cancel a trial at any time from the Billing page, the app's Plan & billing screen, or the Stripe portal. Plans are billed through our payment processor, Stripe, under the prices and billing cycle shown at checkout. Optional add-ons, such as the X Inbox, are added to your plan's subscription, billed on the same cycle, and prorated when you add or remove them; an add-on is not available during a free trial. Unless stated otherwise at the time of purchase: fees are charged in advance, are non-refundable except as required by law, and subscriptions renew automatically until cancelled. We may change prices on prospective notice, effective at your next renewal. You are responsible for all applicable taxes. Seat-based plans are billed per the seat definition shown at the time of purchase.
Payment processing. Payments are processed by Stripe, Inc., which collects and processes your payment details directly under its own terms and privacy policy. We do not receive or store your full card number; we keep your plan, subscription status, billing period, and the Stripe identifiers needed to manage your subscription. Stripe is listed on our Sub-processors page.
Managing and cancelling your subscription. You can subscribe, change plans, update your payment method, view and download invoices, and cancel at any time from the Billing page of your account on postnest.io (postnest.io/account/billing), from Plan & billing in the PostNest app, or directly in the Stripe customer portal those pages open. Plan changes take effect as shown in the portal, which may prorate the difference. A cancellation takes effect at the end of your current billing period, and you keep your plan until then.
Usage limits. Plans may include limits on how many brands, connected accounts, posts, or AI drafts you can use, including per-platform limits (for example, a monthly cap on posts to X, where posts containing links may count for more). The limits for your plan are shown in the Service and at checkout. Platforms also impose their own limits, which apply regardless of your plan.
Platform access is included in your plan. We do not charge a separate or additional fee for connecting or publishing to any individual platform, including LinkedIn. Every supported platform is available on the same terms as your plan's other features.
If you are a consumer in the EU or UK, you may have a statutory right to withdraw from a purchase within 14 days where that right applies and you have not waived it by requesting that the Service begin immediately.
Cancelling stops future charges. It does not refund the current period. Scheduled posts that have not yet published stop publishing when your paid period ends. See Section 15 and the Privacy Policy for what happens to your data.
6. Acceptable Use
You agree not to, and not to permit anyone to:
- use the Service in violation of any law, regulation, or third party's rights;
- use the Service to develop, deploy, or operate anything unlawful, harmful, or that infringes intellectual property or privacy;
- circumvent usage limits, security, or access controls, or probe or disrupt the Service;
- reverse engineer the Service except to the extent that restriction is prohibited by applicable law;
- resell, sublicense, or provide the Service to third parties except as expressly permitted;
- violate the terms, policies, or acceptable-use rules of any third-party platform you connect to the Service (see Section 8);
- use the Service to publish spam, including repetitive, unsolicited, or bulk content, or identical or substantially similar content across multiple accounts where a platform prohibits it (X does);
- use the Service to impersonate any person or organization, or to misrepresent your identity or affiliation;
- use the Service to publish content that is false or misleading, including undisclosed advertising or AI-generated media presented as real where a platform or the law requires a label;
- use the Service to publish content created by someone else as your own, or content you do not have the rights to publish;
- connect or operate accounts you are not authorized to operate, operate coordinated inauthentic accounts, or evade a platform ban or suspension; or
- use the Service, or data obtained from connected platforms through it, to build profiles of individuals or to train or improve an AI model.
7. AI-Generated Drafts, Approval, and Publishing
You understand and accept how the Service works.
AI drafts. The Service uses artificial intelligence to draft brand definitions, posts, and replies to comments. AI-generated drafts are labelled as AI-generated in the Service. AI drafts can be inaccurate, incomplete, misleading, off-brand, unoriginal, or otherwise unsuitable for publication. They are suggestions, not professional branding, legal, or trademark advice. You must review every draft, and you may edit any draft, before you approve or post it. You are solely responsible for everything you approve or post, whether or not it began as an AI draft. We do not clear names or marks for you and make no representation that a generated name, mark, or design is available for use. If a draft is wrong or inappropriate, you can report it to us from the Service or at service@postnest.io.
Nothing publishes without your approval. The Service publishes a post only after you (or a person using your PostNest account) explicitly approve that exact post - its text, media, destination account, and options. Campaigns may create drafts on a schedule, but every post still requires an approval before it can publish. If you change an approved post, it must be approved again.
Approved scheduled posts publish automatically. When you approve a post with a scheduled time, PostNest Cloud will publish that post to the connected account through the platform's API at that time, without any further action by you, unless you cancel or change it first. When you approve a post without a scheduled time, it is published right away.
Replies are never posted by PostNest. The Service may draft a reply to a comment. PostNest does not post replies. To use a reply draft, you copy it, open the comment on the platform yourself, and post the reply there with the platform's own controls. AI reply drafting is not offered for LinkedIn.
Labelling and disclosure are your responsibility. Where a platform or the law requires you to label content as AI-generated, or to disclose that content is advertising, sponsored, or branded, you are responsible for doing so. The Service provides controls for the platform labels and disclosures it supports (for example, AI-generated media flags and TikTok's commercial content disclosure), and you are responsible for setting them correctly.
Best-effort operation. Scheduling, approval controls, retries, quotas, and similar features are provided to assist you and operate on a best-effort basis without guarantee. We do not guarantee that any post will publish, will publish on time, or will publish at all. A platform may reject, delay, alter, or remove a post, and if a publish attempt has an uncertain outcome we will not blindly retry it - we will show it to you so you can decide. A failure of any of these features does not transfer responsibility for published content to Elledyne Labs.
8. Connected Accounts, Platform Rules, and Third-Party APIs
The Service publishes to, and reads from, third-party platforms through their official APIs, using access that you grant. Read this Section carefully.
Your authority. You represent that you own, or are authorized by the owner to manage, every account you connect, and to grant PostNest the access you grant. If you are an agency or manage accounts for others, you must connect through the access the platform provides for that purpose (for example, a role on a Facebook Page, a business portfolio, or LinkedIn Page admin access), not by signing in with a client's personal login. You are responsible for keeping that authority current, and you must disconnect an account when you stop being authorized to manage it.
Platform rules apply to you. Your use of each connected platform remains governed by your agreement with that platform, and you must comply with it when you use the Service, including:
- Meta (Facebook, Instagram, Threads): the Meta Terms of Service, Instagram Terms of Use, Threads Terms of Use, Community Standards, and Meta's advertising and branded content policies.
- X: the X Terms of Service, the X Rules, and the X Automation Rules - including that you may not post identical or substantially similar content across multiple X accounts, and may not use the Service for spam or platform manipulation.
- LinkedIn: the LinkedIn User Agreement and Professional Community Policies.
- TikTok: the TikTok Terms of Service and Community Guidelines - including disclosing commercial content using TikTok's content disclosure setting ("Your brand" or "Branded content") when it applies, and labelling AI-generated content as TikTok requires.
You are also responsible for applying each platform's AI-generated content labels where they apply. Elledyne Labs is not a party to your agreements with the platforms.
Dependency on third parties. The Service depends on platform APIs and other third-party services that we do not control. A platform may change, restrict, rate-limit, charge for, suspend, or withdraw its API, or our access to it, at any time and without notice, and features of the Service that depend on it may change, degrade, or stop working as a result. A platform may also revoke the access you granted, expire it, or require you to grant it again. We are not responsible for any platform's acts, omissions, availability, policies, pricing, or enforcement decisions.
Platform enforcement. A platform may restrict, suspend, or terminate your account, or remove your content, for reasons that include the content you publish. Elledyne Labs is not responsible or liable for any such action, and we cannot restore an account or content a platform has acted against.
How we hold your access. The access tokens a platform issues when you connect an account are stored only in PostNest Cloud, encrypted, and are used only to provide the features you use. They are never sent to your browser or the desktop application. Disconnecting an account in PostNest, or removing PostNest's access in the platform's settings, ends our access and triggers deletion of the related data as described in the Privacy Policy.
You are responsible for securing your own device, your PostNest account, and your platform accounts.
9. Your Content
As between you and Elledyne Labs, you retain all rights to the material you supply, the brands you build, the posts and replies you create, edit, or approve, and the material published from your accounts ("Your Content"). Elledyne Labs claims no ownership of Your Content.
License to operate the Service. You grant Elledyne Labs a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content, and data obtained from your connected accounts, only as needed to provide the Service to you - for example, to store your brands, drafts, and campaigns, to generate drafts, to stage media and publish approved posts to the accounts you choose, and to show you your Inbox. This license ends when Your Content is deleted from the Service, except for copies that have been published to a platform (which are governed by that platform's terms) and copies kept for the limited periods described in the Privacy Policy, including in our backups.
No training. We do not use Your Content, or data from your connected platforms, to train or fine-tune AI models. The AI model that drafts for you is operated by us, and it processes Your Content only to produce drafts for you.
Where it is stored. Your drafts, brands, campaigns, uploaded media, approvals, and publishing history are stored in PostNest Cloud for your account, encrypted at rest, until you delete them or close your account. Content you approve for publishing, staged media, publishing records, and data obtained from connected platforms are processed and stored in PostNest Cloud for the periods described in the Privacy Policy, which also describes our backups.
You represent that you have the rights necessary to use Your Content with the Service, and to publish it to the accounts you choose, and that doing so does not violate any law, third-party right, or platform rule.
10. PostNest Intellectual Property
The Service, including its software, design, trademarks, and documentation (excluding Your Content and third-party materials), is owned by Elledyne Labs or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. We reserve all rights not expressly granted. You may submit feedback, and you grant us a perpetual, royalty-free license to use it without obligation to you.
11. Privacy and Data Processing
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms. Where we process personal information on your behalf (for example, comments on your posts), our Data Processing Agreement applies, and our current sub-processors are listed on our Sub-processors page.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELLEDYNE LABS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY AI-GENERATED OUTPUT WILL BE ACCURATE, SECURE, RELIABLE, UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) ELLEDYNE LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
(b) WITHOUT LIMITING SECTIONS 7 AND 8, ELLEDYNE LABS WILL NOT BE LIABLE FOR CONTENT YOU APPROVE OR POST THROUGH OR WITH THE SERVICE, FOR ANY SUSPENSION, RESTRICTION, OR TERMINATION OF YOUR ACCOUNTS BY A PLATFORM, FOR ANY CHANGE TO OR WITHDRAWAL OF A PLATFORM'S API, OR FOR ANY LOSS, CORRUPTION, OR DELETION OF CONTENT OR DATA.
(c) ELLEDYNE LABS' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE TOTAL FEES YOU PAID ELLEDYNE LABS IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US $100).
(d) NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR (i) GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD; (ii) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; OR (iii) ANY OTHER LIABILITY THAT MAY NOT LAWFULLY BE LIMITED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You will defend, indemnify, and hold harmless Elledyne Labs and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your violation of these Terms or any law; (c) your violation of any third-party right or any third-party platform's terms; (d) content you approve or post through or with the Service, including content that began as an AI draft; (e) your connecting or managing an account you were not authorized to manage; or (f) any brand, name, or mark generated by the Service that you chose to use. This Section does not apply to the extent a claim arises from Elledyne Labs' own gross negligence or willful misconduct.
15. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms, at a platform's request, or to comply with law. Upon termination, your license to use the Service ends, scheduled posts that have not yet published are cancelled, and our access to your connected accounts is removed. Sections that by their nature should survive - including Sections 8 through 14, 17, and 19 through 23 - will survive. Data handling on termination is described in the Privacy Policy.
16. Changes to These Terms
We may modify these Terms. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by email). Your continued use after changes take effect constitutes acceptance. If you do not agree, stop using the Service.
17. Force Majeure
Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, labor disputes, governmental action, and internet, network, or utility failures. This expressly includes the failure, outage, suspension, rate-limiting, API change, policy change, or discontinuation of any third-party platform you connect, or of any hosting, AI infrastructure, or other third-party service on which the Service depends.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Informal resolution. Before bringing any claim, you agree to contact us at service@postnest.io and attempt in good faith to resolve the dispute for at least 30 days.
Venue and jury waiver. Any dispute will be brought exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction there. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
Nothing in this Section limits any non-waivable statutory rights, including those of California residents (for example, under the CCPA/CPRA).
19. Copyright / DMCA
If you believe content accessible through the Service infringes your copyright, send a notice containing the elements required by 17 U.S.C. § 512(c)(3) to service@postnest.io. We may remove allegedly infringing material and terminate repeat infringers in appropriate circumstances. (We have not registered a designated agent with the U.S. Copyright Office; we will do so if and when the Service hosts user content for which safe-harbor protection is needed.)
20. U.S. Government End Users
The Service is "Commercial Computer Software" and "Commercial Computer Software Documentation" as those terms are used in FAR 12.212 and DFARS 227.7202. If you are a U.S. Government end user, you acquire the Service with only those rights granted to all other users under these Terms, consistent with FAR 12.211–12.212 and DFARS 227.7202-1 through 227.7202-4.
21. Export, Sanctions
You represent that you are not located in, and will not use the Service in, any country or by any party subject to applicable U.S. embargoes or sanctions, and that you will comply with all applicable export-control and sanctions laws.
22. Notices
We may give you notice by email to your account address, by posting within the Service, or by posting an updated document with a new "Last updated" date. You must send legal notices to Elledyne Labs at service@postnest.io, or by mail to Elledyne Labs, Inc., 17595 Harvard Avenue, Suite C #4001, Irvine, CA 92614. Notice is effective upon delivery (or, for email, when sent, absent a bounce).
23. Miscellaneous
These Terms, together with the Privacy Policy, the Data Processing Agreement where it applies, and any plan-specific terms, are the entire agreement between you and Elledyne Labs regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries.
